Terms of Service
These Terms govern your use of the High Roads Conversion Studio and the High Roads website. Please read them carefully: they explain what you can expect from us and what we expect from you.
Table of contents
.001 Who We Are
The High Roads Conversion Studio (the “Service”) is operated by High Roads M&G 1337 LLC d/b/a High Roads (“High Roads,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Service and the High Roads website.
You can reach us about these Terms any time at terms@highroads.io, or by mail at the address in the Contact section below.
.002 What The Service Does
High Roads provides configurable, white-label project funnels (“Studios”) that contractors, remodelers, and other businesses run on their own sites to capture, qualify, and route project inquiries. The Service may also include a workspace dashboard, lead notifications, and tools to send qualified inquiries to systems a business configures.
The demos on this website are illustrative. They are designed to showcase the experience and create no real leads, accounts, or commitments; details entered in a demo are not sent to a business or retained as a real submission.
.003 Acceptance Of These Terms
By accessing or using the Service, or by authorizing or allowing anyone to use it on your behalf, you agree to these Terms. If you are entering into these Terms for a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
If you sign up online through self-serve checkout, you also accept these Terms and our Refund & Cancellation Policy by selecting the “I agree” checkbox presented before payment. That checkbox is a required step: checkout cannot be completed without it. When you check it, High Roads records the version of the Terms then in effect, the date and time of your acceptance, and technical details of the request (such as your IP address and browser) as evidence of your agreement.
If you do not agree to these Terms, do not use the Service.
.004 Accounts, Workspaces, And Authorized Users
A workspace is created either when High Roads provisions one for you directly or when you complete self-serve online signup and checkout. A workspace may have one or more administrators who can invite additional authorized users and manage settings. Each workspace includes three (3) team seats; additional seats are available as described in Usage allotments and overage.
- You are responsible for the activity of every administrator and authorized user in your workspace, and for ensuring they are permitted to act on your behalf.
- You must keep sign-in credentials and access links confidential and notify us promptly of any unauthorized access or use.
- Administrators are responsible for the settings they configure, including external lead destinations and notification recipients.
.005 Your Responsibilities As A Business
The Service is a tool you use to engage people who choose to share their project details. You are responsible for how you use it and for your relationship with the people who reach you through it. In particular, you agree that:
- You are responsible for your own follow-up, calls, texts, and email to the people who submit project requests to you, and for obtaining any consent those communications require.
- You are responsible for using lead, contact, and project information lawfully, including compliance with applicable marketing, telemarketing, messaging, privacy, and consumer-protection laws.
- You will provide your own privacy notices and honor your own customers’ privacy choices where the law requires it.
- You are responsible for the content, branding, and claims you put into a Studio, and for ensuring you are entitled to use them.
.006 Lead, Contact, And Project Data
When someone completes a Studio, the Service processes the information they provide, such as their name, contact details, project selections, and location, to qualify the inquiry and route it to the business it was intended for.
As between you and High Roads, the business that receives an inquiry controls how that information is used after delivery, including all subsequent follow-up. High Roads processes this information as a service provider / processor to operate the Service and deliver inquiries to you; you act as the controller of that information for your own business purposes and are responsible for what you do with it. You grant us permission to process and subprocess lead data as needed to provide the Service. See our Privacy Policy for how we handle information.
.007 Acceptable Use
When using the Service, you agree not to:
- Send spam or unsolicited messages, or otherwise misuse contact information.
- Collect, submit, or process information unlawfully, or without a permitted basis to do so.
- Scrape, harvest, or bulk-extract data from the Service, or abuse its features.
- Attempt to gain unauthorized access to the Service, other workspaces, or any account, system, or data.
- Reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Service, except where this restriction is prohibited by law.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or by probing, scanning, or load-testing it without our consent.
- Use the Service to violate any law or regulation, infringe anyone’s rights, or misrepresent your affiliation with High Roads or any third party.
We may investigate and take appropriate action, including suspending or terminating access, for conduct that violates this section or that we reasonably believe is harmful to the Service, its users, or others.
.008 Plans, Fees, And Billing
Paid use of the Service is provided under the plan, fees, and billing schedule that apply to how you signed up. Two paths exist:
Phase 1: founder-led customers. If we onboard you directly (not through self-serve online signup), billing is handled outside the app under your signed order form, statement of work, or invoice (your “Order”). Unless your Order says otherwise, typical Phase 1 terms are:
- Initial term: a three-month minimum commitment, then month-to-month until cancelled.
- Setup fee: due on receipt; non-refundable once onboarding work has begun. More complex or custom scope may require a higher setup fee stated in your Order.
- Monthly platform fee: due on receipt before launch; recurring monthly from your launch date.
- Payment method: you keep a valid payment method on file; recurring charges run automatically on the billing schedule in your Order.
- Failed payment: if a charge fails, you have fifteen (15) days to resolve it, during which we may disable live funnel delivery until payment is current.
- Cancellation: after the initial term, either party may cancel on thirty (30) days’ written notice. Fees already paid are not prorated for the current billing period.
Phase 2: self-serve online signup. If you sign up through our website and pay by card, billing is handled by our payment processor (Stripe) and the following terms apply. The specific plan, fees, and add-ons you select are shown and confirmed at checkout before you pay.
- Setup fee, charged upfront. A one-time setup fee is charged at signup for your first funnel, and each additional funnel has its own setup fee charged at the time you request that funnel. Setup tiers are Standard ($3,500) and Expanded ($5,000); custom scope is quoted separately with a floor of $3,500. Each funnel’s setup fee becomes non-refundable once build work on that funnel has begun (for your first funnel, once branding or the funnel questionnaire is completed; for each additional funnel, once its own intake form is completed), as described in the Refund & Cancellation Policy.
- Early Bird introductory pricing (current promotion). While our Early Bird promotion is running, your first funnel’s one-time setup fee is reduced to $2,000 for a Standard build or $3,500 for an Expanded build (from $3,500 and $5,000), and your first live funnel’s recurring platform fee is $499 per month for the first 12 months on a monthly plan, after which it reverts to the standard $750 per month. Additional funnels are billed at the standard rates above and are not discounted. The price shown and confirmed at checkout controls. We may change or end this promotion at any time; the change does not affect a fee already charged, and any recurring discount applied to your account continues for its stated term.
- Onboarding / build period. After you pay the setup fee, your funnel enters an onboarding and build period while we build and you approve it. This is not a free trial: you have paid the setup fee and are awaiting your build. Recurring billing for a funnel does not start during this period.
- Recurring platform fee, starting at go-live. Recurring billing begins when a funnel goes live (built and approved), not at signup. Your account has a single recurring platform fee based on how many funnels are live: the first live funnel is $750 per month and each additional live funnel is $350 per month, shown and confirmed at checkout before you pay. Annual plans are billed at ten (10) times the monthly rate, so an annual plan includes two months at no additional charge.
- Billing dates and anniversary billing. Your billing cycle is anchored to the date your first funnel goes live. At that go-live we charge a full billing period, and future charges recur on that same date (the same day of the month for monthly plans, or the same date each year for annual plans). Billing is not aligned to the calendar 1st or 15th and your first charge is not prorated. If you add another funnel later, that funnel is prorated onto your current billing period so it lines up with your existing cycle.
- Minimum term. Each funnel has a three-month minimum term, running from that funnel’s go-live date. You can request cancellation of a funnel at any time, but if you cancel inside the minimum term the cancellation takes effect at the end of that funnel’s third month: the funnel keeps running and remains billable until then. After the minimum term, that funnel is month-to-month and you can cancel it at any time.
- One account subscription, priced by how many funnels are live. You have a single subscription for your account, not one per funnel. Your recurring platform fee is based on how many funnels are live at once: the first live funnel is $750 per month and each additional live funnel is $350 per month. When you add or cancel a funnel, the fee re-balances automatically to reflect the new count. Annual is billed at ten times the monthly rate (two months at no additional charge).
- Add-ons. Optional add-ons are billed with your subscription at the rates shown at checkout, for example: custom domain ($39/month plus a $99 one-time setup), removing “Powered by High Roads” branding ($19/month), additional team seats ($15 per seat per month beyond the three included), and guided router ($500 one-time setup). Add-ons follow the same monthly or annual billing interval you chose for your account.
- Changes mid-cycle. If you add, remove, or change a plan or add-on during a billing period, charges and credits are prorated for the remainder of that period.
- Payment method. Self-serve billing is by card only at launch, collected through our payment processor’s hosted checkout; your full card details are handled by the processor and are not stored on our servers. Additional payment methods may be offered over time.
- Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes, which may be added to your charges where we are required to collect them.
- We never charge per lead. Captured leads and lead-alert notifications to your workspace are unlimited and are never billed per lead. Certain infrastructure allotments (such as submission-confirmation emails and media storage) do apply, as described in Usage allotments and overage.
Renewal, cancellation, and what happens if a payment fails are described in Auto-renewal and cancellation and Non-payment, retries, and read-only mode below, and in the Refund & Cancellation Policy.
.009 Changes To Recurring Fees
We may change the recurring fees for a self-serve subscription. If we do, we will give you at least thirty (30) days’ advance notice before the change takes effect at your next renewal, sent to the email address on your account or shown in your billing settings. The new fees apply only to billing periods that begin after the notice period; they do not change the price of a period you have already paid for.
If you do not want to continue at the new fees, you may cancel before your next renewal as described in Auto-renewal and cancellation. Continuing to use the funnel after the change takes effect means you accept the updated fees.
.010 Auto-Renewal And Cancellation
Your subscription continues until you cancel. You choose monthly or annual billing at signup, and that interval applies to your whole account and all of your funnels. Monthly accounts bill automatically each month and annual accounts automatically renew for another year, until you cancel. This paragraph, and the price and billing period shown at checkout and in your billing settings, are your renewal disclosure.
Annual plans are a full-year commitment. When you choose an annual plan, you commit to and pay for the full year, and this is disclosed to you at checkout before you pay. If you cancel an annual plan during its term, it does not renew for the next year, your access continues through the end of the year you paid for, and unused months are not refunded.
How to cancel. You can cancel any funnel yourself from Billing in your dashboard settings, where you select the funnel and schedule its cancellation. Card updates and invoices are available from the same Billing page via the secure payment portal. You may also email us at terms@highroads.io and we will help you cancel.
Cancelling one funnel of several. If you run more than one funnel, cancelling a funnel does not end your account or your other funnels. It lowers your live-funnel count, and your recurring fee re-balances automatically (the first remaining funnel stays $750 per month and each additional remaining funnel stays $350 per month). Your other funnels keep running normally.
When cancellation takes effect. If you cancel a funnel before the end of its three-month minimum term, the cancellation takes effect at the end of that minimum term; the funnel keeps running and remains billable until then. After the minimum term, a funnel is month-to-month and its cancellation takes effect at the end of your current billing period. Your access continues through the time you have paid for, and fees already paid are not refunded for the current period except as stated in the Refund & Cancellation Policy or where required by law.
What happens to a cancelled funnel. When a funnel’s subscription ends, that funnel becomes dormant: it stops capturing new submissions, but your existing data is retained, not deleted, and the funnel can be re-enabled later by starting a new subscription for it. This voluntary dormant state is different from the read-only mode that can apply during non-payment, described in Non-payment, retries, and read-only mode.
.011 Non-Payment, Retries, And Read-Only Mode
If a recurring charge fails, our payment processor automatically retries the charge on a smart schedule for up to about four weeks. During that retry window your funnel and dashboard continue to work normally while we attempt to collect payment.
If payment is still not resolved after the retries are exhausted, the affected funnel moves to a “coming soon” holding state (it stops accepting new submissions from the public) and your dashboard for that workspace becomes read-only: you and your team can still view and export existing leads, but changes that write data are paused until payment is brought current. This is a temporary, payment-related measure and is reversible as soon as payment succeeds, which restores normal access.
This non-payment holding and read-only state is distinct from the dormant state that follows a voluntary cancellation (described in Auto-renewal and cancellation) and from account deletion.
.012 Launch Correction Period
Unless your Order says otherwise, we include a thirty (30) day launch correction period beginning on your go-live date. During that period we will make reasonable corrections to the delivered funnel configuration, branding, and routing defects covered by your Order.
The correction period does not include new features, additional funnels, vertical changes, scope expansion, or redesigns outside what was agreed in your Order. Those require a change order and may incur additional fees.
The launch correction period is a support and correction window, not an automatic refund. How refunds are handled is described in the Refund & Cancellation Policy.
.013 Usage Allotments And Overage
Unless your Order says otherwise, each paid funnel includes standard usage allotments. Captured leads and lead-alert emails to your workspace are unlimited. We do not charge per lead.
- Submission confirmation emails (transactional messages to people who complete your Studio): 2,000 included per funnel per month; then $10 per additional 1,000 sends.
- Team seats: 3 included per workspace; then $15 per additional seat per month.
- Media storage: 5 GB included per funnel; then $2 per additional 5 GB.
Overage, if any, is charged to the payment method on file or added to your next invoice. For self-serve subscriptions, usage is metered automatically; for founder-led customers we may measure usage manually.
.014 Referral Program
We may offer a referral program from time to time (see our referral program or your Order). Unless we state otherwise in writing for a specific promotion:
- A qualified referral is a new business customer who signs an Order and pays the setup fee through your referral link or code.
- Referrers earn $500 in account credit per qualified referral, applied to their own Service fees. Credits stack; there is no cap unless we say so in writing.
- Credits have no cash value, are non-transferable, and may not be exchanged for cash.
- We may modify, suspend, or end the program, or reject referrals we reasonably believe are fraudulent, self-referrals, or abusive.
.015 Service Availability
We use commercially reasonable efforts to operate the Service, but we do not provide an uptime SLA, a response-time SLA, or a minimum lead volume unless your Order expressly states one. Planned maintenance, third-party outages, and events outside our reasonable control may affect availability.
.016 Third-Party Services And Subprocessors
To operate the Service, High Roads relies on reputable third-party providers, for example hosting and infrastructure, database storage, email delivery, analytics, security, and integration providers. These providers process information on our behalf so we can run the Service, and we use commercially reasonable safeguards in selecting and working with them.
The Service may also let you connect or interoperate with third-party tools you choose. Your use of a third-party tool is governed by that third party’s terms and policies, and High Roads is not responsible for third-party services we do not control.
.017 External Lead Destinations And Webhooks
You and your administrators can configure the Service to send lead and project data to external systems you control, for example an HTTPS webhook receiver or a connected tool. Depending on what is available, these may include automation platforms, CRMs, team messaging, or productivity tools.
When you configure an external destination, you direct High Roads to send data there on your behalf. High Roads is not responsible for how a receiving system handles the data once it leaves the Service, and we do not guarantee delivery to, or the availability, accuracy, or behavior of, any third-party receiver. You are responsible for choosing your destinations, for the security and configuration of the systems you connect, and for your use of the data once delivered.
.018 Email And Notifications
High Roads sends operational and transactional messages as part of the Service, for example sign-in links, lead notifications to a workspace, and submission confirmations to people who complete a Studio. These messages are part of using the Service.
Any marketing or commercial follow-up you send to the people who reach you through the Service is your responsibility, and you are responsible for complying with the laws that apply to it, including consent and opt-out requirements.
.020 Intellectual Property
The Service, including its software, design, content, and the High Roads name and logo, is owned by High Roads or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your business. These Terms grant you no rights in our trademarks or branding except as needed to use the Service, and you retain ownership of the content and data you provide.
.021 Feedback
If you send us ideas, suggestions, or feedback about the Service, you grant High Roads a perpetual, irrevocable, royalty-free right to use it to improve and develop our products and services, without any obligation to you. Feedback is given voluntarily and is not confidential.
.022 Confidentiality
If either party shares non-public information that is marked or reasonably understood to be confidential, the receiving party will use it only to perform under these Terms and will protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
.023 Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Without limiting that, High Roads does not warrant or guarantee:
- any particular number, quality, or value of leads;
- any particular revenue, sales, or business results;
- that the Service will be uninterrupted, timely, secure, or error-free; or
- the availability, delivery, or performance of any third-party integration, receiver, or external destination.
Any price or price range shown to a homeowner in a Studio is an estimate for planning purposes only and is not a binding quote, offer, or contract price.
.024 Limitation Of Liability
To the maximum extent permitted by law, High Roads will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility. To the maximum extent permitted by law, High Roads’s total liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
.025 Indemnification
You will defend, indemnify, and hold harmless High Roads and its personnel from and against any third-party claims, damages, losses, and reasonable costs (including attorneys’ fees) arising out of or related to your content, your use of the Service, your follow-up and communications with the people who reach you through it, the external destinations you configure, or your breach of these Terms or of applicable law.
.026 Termination And Suspension
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if your account is used in a way that risks harm to the Service or others, for non-payment, or as needed to comply with law or protect the Service. We will use reasonable efforts to provide notice where practical. On termination, your right to use the Service ends. You may request an export of lead data from your workspace within a reasonable period after notice of termination; after that, we retain or delete data as described in our Privacy Policy. Sections that by their nature should survive, such as fees owed, intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
.027 Changes To These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and material changes will take effect when posted. Your continued use of the Service after changes take effect means you accept the revised Terms.
.028 Governing Law And Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and High Roads agree that the exclusive venue for any dispute relating to these Terms or the Service will be the state or federal courts located in Tarrant County, Texas, and each party consents to the personal jurisdiction of those courts.
Nothing in this section waives any right or protection that cannot be waived under the law of the state where you reside or do business, including non-waivable consumer-protection and automatic-renewal statutes. Where such a law applies to you and conflicts with this section, that law controls to the extent of the conflict, and the rest of these Terms remains in effect.
